Initially the focus of the role will be in capital raising and public listings however there is scope for a broader range of work. Sound knowledge of Corporations Act and Listing rules would be ideal.You responsibilities would cover:

• Corporate structure advice and establishment for companies to proceed with an initial public offering of shares, including restructuring of business activities and establishment of corporate group structures.
• Corporate advice in respect of corporate governance issues for public listed companies, unlisted public companies and private companies.
• Assisting public listed companies in respect of matters such as the preparation of materials to convene General Meetings, liaising with the ASX and ASIC in respect of such materials, and compliance with the Listing Rules of the ASX including continuous disclosure obligations.
• Advising and acting on behalf of companies in respect of acquisitions and takeover activities including undertaking due diligence in respect of transactions, negotiation and preparation of complex transaction documents (such as sale of business documents and share sale agreements).
• This group is unlike any other corporate practice in that it is not top heavy which gives the junior lawyers in the team an opportunity to work with a comfortable level of autonomy and high level of responsibility, and the opportunity for career progression.
